  1. KnowhowAngels.com is owned and operated by Docunexus, Inc., a company incorporated in New York.

  2. KnowhowAngels.com is a question-answering directed platform to obtain knowhow from our experts. We are different from other such platforms such as Quora or Stackoverflow in some of the following respects:

    • Unlike these other platforms, the content on KnowhowAngels.com is not entirely crowd-sourced. That is, not anyone can post content or become one of our experts.
    • Not all content comes from our experts and other users; some of the content is created by the staff of Docunexus, Inc.
    • Not all content available through KnowhowAngels.com is published on KnowhowAngels.com. Some of the content is supplied to users by experts (also known as ‘angels’) only on demand and at the discretion of the supplying experts.
    • Not all content is free. Experts may charge a user money for the content they provide to that user. Whether to supply content for free or for a monetary price is entirely at the discretion of the supplying expert. Similarly, the price is set by the expert.
    • Content can be in the form of text, video, or audio.

  3. Definitions

    • The website KnowhowAngels.com, our online magazine Knowhow Wire, and the Knowhow Angels chatbot making platform are collectively referred to as 'the Knowhow Angels Platform'.
    • By 'We', 'Us, 'Our' we mean the Knowhow Angels Platform and Docunexus, Inc. (the parent company).

  4. Types of Content We distinguish between the following types of content provided on the Knowhow Angels Platform. Different rights and policies pertain to these different types of content.

    • Posted User Content is any user generated content that at some point has been posted on a web page of KnowhowAngels.com or published in an issue of Knowhow Wire (our online magazine) or content that has been provided by an expert to Knowhow Angels’ chatbot making platform.
    • User supplied on demand content (henceforth referred to as SOD content) is content which is not Posted Content and which has been generated by an expert in response to a specific question by a user. SOD content can become Posted Content if it is at any point posted to the Knowhow Angels Platform. Just using the Knowhow Angels Platform to transmit the content (either through the chat interface or the video conferencing platform) does not thereby make it Posted Content.
    • Knowhow Content is content created by the staff of the Knowhow Angels Platform or created by Our artificial agents (the Knowhow Bot, for example).

  5. The content provided by any of our users, whether it is Posted Content or SOD content, is the intellectual property of that expert. You must ensure that you are legally entitled to supply this content and that the content you supply does not infringe the legal rights of another party or violate any laws. Although we select the experts who can supply content using the Knowhow Angels Platform, we do not make any guarantees about the value or validity of the content supplied by them. This pertains even to Knowhow Content.

  6. With regard to Your Posted Content you agree to grant Docunexus, Inc. certain rights and license to use it, which are listed below.
    a. By posting Your Posted Content on the Knowhow Angels Platform, you grant Docunexus, Inc a nonexclusive, worldwide, royalty free, fully paid up, transferable license to use, copy, reproduce, process, adapt, modify, create derivative works from, publish, transmit, store, display and distribute, translate, communicate and make available to the public, and otherwise use Your Posted Content in connection with the operation or use of the Knowhow Angels Platform or the promotion, advertising or marketing of the Knowhow Angels Platform, in any and all media or distribution methods, including via means of automated distribution. You agree that this license includes the right for Docunexus, Inc. to make Your Posted Content available to other companies, organizations, business partners, or individuals who collaborate with Docunexus, Inc. for the syndication, broadcast, communication and making available to the public, distribution or publication of Your Posted Content on the Knowhow Angels Platform or through other media or distribution methods. This license also includes the right for other users of the Knowhow Angels Platform to use, copy, reproduce, adapt, modify, create derivative works from, publish, transmit, display, and distribute, translate, communicate and make available to the public Your Posted Content, subject to our Terms of Service. Except as expressly provided in these Terms of Service, this license will not confer the right for you to use automated technology to copy or post questions and answers or to aggregate questions and answers for the purpose of making derivative works.
    b. Once you post any material, you may edit or delete it at any time from public display on https://www.knowhowangels.com, except for material published in Knowhow Wire, our online magazine. Docunexus, Inc. reserves the right to remove any of Your Posted Content from its platform if it regards it as spam or plagiarized or of a quality which it regards as not meeting its standards. Any edits and changes made by you may be visible to other users. The right for Docunexus, Inc. to copy, display, transmit, publish, perform, distribute, store, modify, and otherwise use any content you post, and sublicense those rights to others, is perpetual and irrevocable, to the maximum extent permitted by law, except as otherwise specified in this Agreement. c. You acknowledge and agree that Docunexus, Inc. may preserve Your Posted Content and may also disclose Your Posted Content and related information if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process, applicable laws or government requests; (b) enforce these Terms of Service; (c) respond to claims that any of Your Posted Content violates the rights of third parties; (d) detect, prevent, or otherwise address fraud, security or technical issues; or (e) protect the rights, property, or personal safety of Docunexus, Inc., its users, or the public.
    d. You understand that we may modify, adapt, or create derivative works from Your Posted Content in order to transmit, display or distribute it over computer networks, devices, service providers, and in various media. We also may remove or refuse to publish Your Posted Content, in whole or part, at any time for any reason.
    e. You further give us the permission and authority to act as your nonexclusive agent to take enforcement action against any unauthorized use by third parties of any of Your Posted Content outside of the Knowhow Angels Platform or in violation of our Terms of Service.

  7. With regard to Your SOD Content, you do not automatically give Docunexus, Inc. any right or license to use it without your explicit permission simply by the act of using the resources of the Knowhow Angels Platform unless you post this content on the Knowhow Angels Platform at any time. However, you acknowledge and accept that clauses 6c and 6e also pertain to Your SOD Content.

  8. You may entirely at your discretion offer Your SOD Content to users for free or for a specified amount of money (henceforth referred to as “Paid Transactions”).

  9. Paid Transactions are governed by the Paid Transactions Policies (a link here). You acknowledge that you have read these policies and agree to be governed by them before participating in any Paid Transactions, whether you receive or offer a Paid Transaction.

  10. Your Responsibilities for Your Content. By posting Your Posted Content on the Knowhow Angels Platform, you represent and warrant to us that: i) you have the ownership rights, or you have obtained all necessary licenses or permissions to use Your Posted Content and grant us the rights to use Your Posted Content as provided for under this Agreement, and ii) that posting Your Posted Content violates no intellectual property or personal right of others or any applicable law or regulation, including any laws or regulations requiring disclosure that you have been compensated for Your Posted Content. You accept full responsibility for avoiding infringement of the intellectual property or personal rights of others or violation of laws and regulations in connection with Your Posted Content. You are responsible for ensuring that Your Posted Content does not violate any other of our published policies. You agree to pay all royalties, fees, and any other monies owed to any person by reason of Your Content.

  11. Our Content, which consists of

    • All intellectual property in or related to the Knowhow Angels Platform (specifically including, but not limited to our software, the Knowhow Angels marks, the Knowhow Angels logo).
    • Any answers produced by the Knowhow Bot
    • Any content produced by the Knowhow Angels team and posted on any of the web pages of the Knowhow Angels Platform.
    • Content posted by other Knowhow Angels users licensed to us
      All of the above is collectively referred to as “Our Content".
    • Data. All data Knowhow Angels Platform collects (“Data”) about use of the Knowhow Angels Platform by you or others is the property of Docunexus, Inc., its subsidiaries, and affiliates. For clarity, Data does not include Your Posted Content and SOD content and is separate from Our Content.

  12. Our License to You
    * We grant you a personal, limited, non-exclusive license to use and access Our Content and Data as made available to you on the Knowhow Angels Platform in connection with your use of the Knowhow Angels Platform, subject to the terms and conditions of this Agreement.
    * We give you a worldwide, royalty-free, revocable, personal, non-assignable and non-exclusive license to re-post Our Content anywhere on the web, subject to these Terms and Conditions and provided that: (a) you do not modify the content; (b) you attribute the Knowhow Angels Platform by name in readable text and with a human and machine-followable link (an HTML anchor tag) linking back to the page displaying the original source of the content on https://KnowhowAngels.com on every page that contains Our Content; (c) upon request, by Us you remove a specified user's name from content; (d) upon request by Us you make a reasonable effort to update a particular piece of content to the latest version on the Knowhow Angels Platform; and (e) upon request by Us you make a reasonable attempt to delete content, which We may ask you to do for any reason; (f) you don’t republish more than a small portion of Our Content; (g) you do not use any automated tools to aggregate or create derivative works. In exercising these rights, you may not implicitly or explicitly assert any connection with, sponsorship or endorsement by Us, or any user of the Knowhow Angel Platform, without separate, express prior written permission from Us.
    * We reserve the right to terminate our license to you at any time for any reason. We reserve the right to refuse to distribute any content on the Knowhow Angels Platform or to remove content. Except for the rights and license granted in these Terms of Service. We reserve all other rights and grant no other rights or licenses, implied or otherwise.

  13. Permitted Uses of Our Content If you operate a search engine, web crawler, bot, scraping tool, data mining tool, bulk downloading tool, wget utility, or similar data gathering or extraction tool, you may access the Knowhow Angels Platform, subject to the following additional rules: i) you must use a descriptive user agent header; ii) you must follow robots.txt at all times; iii) your access must not adversely affect any aspect of the functioning of our platform; and iv) you must make it clear how to contact you, either in your user agent string, or on your website if you have one. You represent and warrant that you will not use any automated tools such as artificial intelligence or machine learning i) to create derivative works of Our Content; ii) to create any service competitive to Knowhow Angels; or iii) for other commercial purposes except as expressly permitted by these Terms of Service or the written consent of Knowhow Angels.

  14. No Endorsement or Verification Please note that the Knowhow Angels Platform contains access to content, products and services produced by our users and other parties, and it offers interactions with such parties. It must be clearly understood that availability of content on our platform of any nature whatsoever, does not amount to endorsement or verification by Us. We make no warranties or representations about the accuracy, completeness, or timeliness of any content posted on the Knowhow Angels Platform by anyone.

  15. Ownership You acknowledge and agree that Our Content remains the property of the Knowhow Angels Platform and Docunexus, Inc. or their users. The content, information and services made available on the Knowhow Angels Platform are protected by U.S. and international copyright, trademark, and other laws, and you acknowledge that these rights are valid and enforceable.

  16. You may enable another online service provider, such as a social networking service, to be directly integrated into your account on the Knowhow Angels Platform. By enabling such an integrated service, you are allowing us to pass to, and receive from, the provider of such a service your log-in credentials and other user data. For more information about how We use, store, and share information related to you and your use of such services within the Knowhow Angels Platform, please see our Privacy Policy. Note that your use of any such integrated service and its own handling of your data and information is governed solely by their terms of use, privacy policies, and other policies.

  17. The Knowhow Angels Platform may display advertising content, which may be targeted in terms of content on the Knowhow Angels Platform, queries made through the Knowhow Angels Platform, and information pertaining to other actions taken on the Knowhow Angels Platform, in an effort to serve advertising content relevant to you. You agree that We and our third-party providers and partners may place such advertising content on the Knowhow Angels Platform.

  18. The Knowhow Angels Platform may also offer you the opportunity to visit links to other websites or to engage with third-party products or services. You assume all risk arising out of your use of such websites or resources.

  19. DISCLAIMERS AND LIMITATION OF LIABILITY
    EACH PROVISION BELOW APPLIES TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW.
    a. WE ARE PROVIDING YOU THE KNOWHOW ANGELS PLATFORM, ALONG WITH OUR CONTENT AND MATERIALS AND THE OPPORTUNITY TO CONNECT WITH OTHERS, ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, WE EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, TITLE, ACCURACY AND COMPLETENESS, UNINTERRUPTED OR ERROR-FREE SERVICE, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR TRADE USAGE.
    b. WE MAKE NO PROMISES WITH RESPECT TO, AND EXPRESSLY DISCLAIMS ALL LIABILITY FOR: (i) CONTENT POSTED BY ANY USER OR THIRD PARTY; (ii) ANY THIRD-PARTY WEBSITE, THIRD-PARTY PRODUCT, OR THIRD-PARTY SERVICE LISTED ON OR ACCESSIBLE TO YOU THROUGH THE KNOWHOW ANGELS PLATFORM, INCLUDING ANY SERVICE PROVIDER INTEGRATED WITH THE KNOWHOW ANGELS PLATFORM OR PROFESSIONAL CONTRIBUTOR; (iii) THE QUALITY OR CONDUCT OF ANY THIRD PARTY YOU ENCOUNTER IN CONNECTION WITH YOUR USE OF THE KNOWHOW ANGELS PLATFORM; OR (iv) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR CONTENT. WE MAKE NO WARRANTY THAT: (a) THE KNOWHOW ANGELS PLATFORM WILL SATISFY YOUR INFORMATIONAL NEEDS; (b) THE KNOWHOW ANGELS PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (c) THE RESULTS OR INFORMATION THAT YOU MAY OBTAIN FROM THE USE OF THE KNOWHOW ANGELS PLATFORM, A CONTRIBUTOR, OR ANY OTHER USER WILL BE ACCURATE OR RELIABLE; OR (d) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED OR PURCHASED BY YOU THROUGH THE KNOWHOW ANGELS PLATFORM WILL BE SATISFACTORY.
    c. YOU AGREE THAT TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE TO YOU UNDER ANY THEORY OF LIABILITY. WITHOUT LIMITING THE FOREGOING, YOU AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SPECIFICALLY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, LOSS OF PROFITS, BUSINESS INTERRUPTION, REPUTATIONAL HARM, OR LOSS OF DATA (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR SUCH DAMAGES ARE FORESEEABLE) ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF, OR INABILITY TO USE, THE KNOWHOW ANGELS PLATFORM. IN NO EVENT WILL OUR LIABILITY, AND THE LIABILITY OF OUR PARENTS, SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS, TO YOU OR ANY THIRD PARTIES IN ANY CIRCUMSTANCE EXCEED THE GREATER OF (A) THE AMOUNT OF FEES YOU PAY TO DOCUNEXUS, INC. IN THE 12 MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY, OR (B) US$100.
    d. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE KNOWHOW ANGELS PLATFORM IS TO STOP USING IT.
    e. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. AS A RESULT, THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU IN WHOLE OR IN PART.

  20. Indemnification You agree to indemnify and hold Docunexus, Inc., its subsidiaries, officers, directors, shareholders, employees, agents, joint venture partners, consultants, successors and assigns harmless from and against all losses, costs, liabilities and expenses including reasonable attorneys’ fees, asserted by any third-party that are in any way due to, or arising out of, your use of or conduct on the Knowhow Angels Platform.

  21. All our experts (also known as 'angels') are required to have a profile page where they enter information which can be used to determine whether they have the expertise they claim. This profile page can be accesed by any user of the Knowhow Angels Platform.It is up to each user to determine for themselves whether or not to accept an expert's claims of expertise on any matter and in any area based on the information supplied on an expert's profile page. If you find this information inadequate or suspect, you should not engage in any Paid Transactions with that expert and disregard any information provided by that expert. We do not vouch for any such claims of expertise of any of our experts and as such cannot be held responsible for any deficiencies, real or perceived, in the expertise of any of our experts on any matter and in any area.

  22. These terms of service will be revised in the near future and any user who has registered with us will be notified as soon as a revised version is posted on the Knowhow Angels Platform.
